1. Purchase disclosures and seller

Before purchase we will identify the selling entity, service or application, price and currency, billing frequency, taxes or the basis for calculating them, minimum commitment if any, trial conditions, renewal terms, material usage limits and the cancellation method. Frameleaf, Inc. is the default seller unless another seller or marketplace merchant is clearly identified for the transaction. A Canadian correspondence address does not by itself change the seller.

An Order includes an accepted checkout record, app-store transaction or signed order form. You will receive a retainable confirmation. A currency symbol without an identified currency is insufficient to authorize a charge. Unless expressly stated, a quoted amount is not guaranteed to be identical across marketplaces or currencies. Your bank may impose its own foreign-exchange or payment fees, which are not Frameleaf fees.

2. Recurring subscriptions

2.1 Affirmative authorization

A monthly or annual subscription renews only under the recurring-payment terms clearly disclosed and affirmatively accepted at purchase. Your authorization permits collection of the stated renewal amount, applicable taxes and separately authorized usage charges from the chosen payment method until canceled. It is not authority to add unrelated products, unrequested storage overages or automatic AI top-ups.

2.2 Billing dates

A monthly Plan is billed in advance for successive monthly periods; an annual Plan is billed in advance for successive annual periods, unless the Order states otherwise. When an anniversary date does not exist in a month, the billing date is the last day of that month. Usage billed in arrears is identified separately. The account record and receipt show the applicable service period and next scheduled renewal.

2.3 Reminders and changing terms

For an annual renewal, we will send a reminder at least 30 days before charging, or within another mandatory notice window where applicable. A trial that converts to a paid subscription will identify the conversion date and price before enrollment; we will send a reminder at least three days before conversion, or earlier where law requires. A free trial without clear paid-conversion authorization will not become a paid subscription automatically.

Price increases ordinarily take effect no earlier than the next renewal following at least 30 days’ notice. We will give any additional notice or obtain consent required by law or the marketplace. A prepaid annual price does not increase during that paid term. Material reductions in paid features follow the Master Terms, including applicable cancellation and proportional-refund rights.

3. Canceling renewal

3.1 Direct purchases

You may cancel renewal for a direct purchase through the account’s subscription controls or by contacting [email protected]. We will provide a straightforward cancellation process without requiring an unnecessary telephone call, retention interview or purchase. The process will identify which subscription ends and its effective date and provide confirmation.

A cancellation request received before the scheduled direct renewal prevents the next renewal. If a charge is nonetheless processed because our systems did not implement a timely request, we will reverse it. We may verify authority proportionately, but will not use verification to obstruct a legitimate cancellation.

3.2 Marketplace purchases

Subscriptions billed by Apple, Google or another marketplace generally must be managed through that marketplace’s subscription controls. We will identify the billing channel and help locate the correct process. Marketplace rules may require action before a processing cut-off, which the interface should disclose. We will not tell you that an in-app account deletion necessarily canceled a marketplace subscription when it did not.

3.3 Distinct effects

Canceling renewal ordinarily ends future renewal charges while leaving the paid service available to the end of the current term. It does not immediately erase backup data. Managed backups follow the Backup Agreement: a lapse of the backup entitlement starts a 30-day deletion hold, with read-only or frozen access and eventual removal. Credential and account recovery requirements still apply. Uninstalling an application, disconnecting a Library, stopping uploads or ignoring an invoice does not itself cancel a recurring subscription.

4. Plan changes, bundles and usage

4.1 Upgrades and downgrades

Before an upgrade takes effect we will show any immediate charge, proration, new allowance and renewal date. A downgrade ordinarily takes effect at the next renewal unless a different date and price are accepted. A downgrade below existing backup usage requires a specific warning and an explanation of continued access, limits and eventual deletion consequences. No plan change alone authorizes undisclosed deletion of local or backup media.

4.2 Bundles

A bundle may contain separately metered services. The purchase record identifies the included storage and connectivity and any expressly offered promotional allowance. Ordinary subscriptions do not include AI wallet credit. We will explain the effect of canceling a bundle on each component. AI wallet purchases are separate from ordinary subscription entitlements and follow the AI Terms, including applicable expiry and mandatory prepaid-value rights. Canceling an optional relay add-on does not delete a separately maintained backup service.

4.3 Storage expansion and spend controls

Direct-billed managed backup plans can automatically add whole 1 TB storage blocks at the accepted rate. Billing uses peak measured current-object usage across the account during the storage billing period, above its included allowance, as described in the Backup Agreement. Accepting that pricing arrangement authorizes the expansion; exceeding the included allowance does not itself pause writes. Prices and limits are disclosed at checkout and in the account.

Store-billed backup plans use the purchased capacity tier and can stop new writes when the tier is full instead of creating a direct-billing overage. A tier change follows the relevant store process. Other capped services may pause usage when the applicable allowance is exhausted. No supplier price change silently creates a customer charge.

Automatic AI wallet top-ups require a separate opt-in, amount, trigger and monthly spending limit and may be disabled for future purchases. Usage alerts do not replace the required purchase authorization.

5. Payment methods, fraud checks and taxes

You must be authorized to use the payment method. We and our payment providers may use tokenization, authentication, account-update services and proportionate fraud checks to collect authorized charges. A card replacement does not automatically cancel a subscription; cancellation must follow Section 3. Conversely, an updater service is not a new authorization to charge after cancellation.

Payment providers may process full card data. Frameleaf will not require customers to send full card numbers, security codes or banking passwords through support tickets. Our Privacy Notice identifies the categories of payment and transaction information processed. We will not represent tokenization as proof that no payment-related personal data is processed.

You are responsible for transaction taxes lawfully payable on your purchase, except taxes on Frameleaf’s income. Any accepted tax exemption applies according to law and its documented effective date. Price presentation and invoicing will follow mandatory tax-inclusive disclosure requirements in the relevant market.

6. Failed payments and overdue accounts

We will notify you of an ordinary payment failure. Access follows the applicable entitlement and grace dates. For direct subscriptions, the standard entitlement calculation extends validity three days beyond the paid-through date and then provides a seven-day grace period, unless a disclosed plan rule or recorded extension changes that period. Collection can place a grant in grace earlier. Marketplace grace and expiry follow the verified store entitlement. The account’s applicable entitlement dates determine when access changes.

When the backup entitlement lapses, managed backup writes stop and the hold and deletion rules in the Backup Agreement apply. A refund, charge reversal, dispute, fraud restriction or suspension can change access sooner where lawful. None authorizes immediate destruction of unrelated private data merely because the first collection attempt failed.

We may retry payments within your authorization and collect legitimate accrued charges, but will not impose duplicate charges or unauthorized renewals. Consumer accounts carry no late-payment interest, collection penalty or accelerated obligation to pay future subscription periods under these standard Terms. A good-faith billing dispute remains subject to investigation and applicable rights.

7. Refunds and credits

7.1 Non-refundable subscriptions

Subscription purchases and renewals are non-refundable once purchased, except where law requires a refund or the Agreement expressly provides one. There is no prorated refund for voluntary cancellation or unused subscription time; the service normally remains available through its paid end date. Separately closing the account ends sign-in access, and carrying out account erasure ends a direct subscription immediately, without an automatic prorated credit under the ordinary voluntary-deletion policy. Mandatory rights remain unaffected. This rule does not override statutory withdrawal, defective-service, non-delivery, automatic-renewal, chargeback or marketplace rights.

7.2 Errors and non-delivery

We will correct duplicate, unauthorized or incorrectly calculated Frameleaf charges and restore erroneously consumed Credits. If a paid service cannot be supplied, we will provide an appropriate correction, substitute accepted by you, credit accepted by you, or refund as required by the Agreement and law. We will not substitute a discretionary store credit for a refund that is legally due.

7.3 Frameleaf termination or material reduction

When we discontinue a prepaid service without customer fault or cannot honor an expressly purchased material feature, we will refund the unused affected prepaid amount on a time-apportioned or otherwise fair basis. Unused purchased AI Credits, voluntary refunds, account closure and account erasure are governed by the AI Terms. No closure or erasure policy overrides a mandatory refund or prepaid-value right.

7.4 Marketplace processing and timing

Where a marketplace controls refunds, use its process; we will reasonably assist and honor responsibilities assigned to us. For a refund Frameleaf controls, we will initiate it within 14 days after approving the refund or within a shorter mandatory period. Settlement timing can depend on the payment provider. Refunds ordinarily return to the original method; an unavailable method will be handled through a reasonably verified lawful alternative.

7.5 Unused purchased AI credits

Unused purchased AI credits are refundable on request, without a Frameleaf administration charge or deduction of the original payment-processing fee. Free promotional value is not cash-refundable. Account closure, deletion or expiry does not extinguish the claim for unused purchased value. The Refund Policy explains calculation, requests, timing and marketplace handling and controls any inconsistent standard provision on that refundability.

8. Consumer withdrawal and cooling-off rights

Where your law grants a withdrawal or cooling-off period, we will honor it and provide the required precontract information. For qualifying distance contracts in the EEA or United Kingdom, this may include a 14-day withdrawal right. A request to start a service during that period is separate from a legally valid acknowledgment concerning loss of a digital-content withdrawal right; we will not combine them into a general waiver.

Any lawful proportionate charge for service supplied before withdrawal requires the necessary request and disclosures. Where continued supply, digital content, recurring services and Credit purchases receive different treatment, the purchase flow must identify the applicable category. You may send an unambiguous withdrawal notice to [email protected], stating the purchase and your decision; use of a particular form is not required unless law permits that requirement. Consumers elsewhere retain all locally applicable rights.

9. Billing questions and payment disputes

Report an apparent error promptly with the invoice or transaction identifier and the disputed amount. For administration we request notice within 60 days of the statement, but that request does not shorten a statutory limitation, bank dispute period or consumer remedy. We will investigate, explain our conclusion and correct verified errors. You may withhold a genuinely disputed business amount while paying undisputed sums where law or an accepted Order permits.

Do not knowingly submit a false chargeback or obtain both a refund and a reversal for the same charge. A good-faith chargeback or complaint is not an AUP violation. We may pause further purchases or risky activity while addressing a reversal, but must distinguish fraud from an ordinary disagreement and follow applicable preservation duties.

10. Promotions, trials, gifts and credits

Promotional offers must identify eligibility, duration, renewal price and any limits before acceptance. We may reject fraudulent or duplicate promotional claims without confiscating legitimately purchased balances. No gift-card product or transferable stored-value service is created unless expressly offered under separate terms. This does not limit refunds of unused purchased AI credits under the Refund Policy or other refunds expressly due under the Agreement.

An AI Credit balance is not applied to a recurring storage subscription or an unrelated third-party purchase. A materially different future payment-use product would require separately disclosed terms and authorization. We do not automatically liquidate Credits to cover arrears, and promotional Credits do not offset cash refunds. Marketplace-specific use restrictions must be disclosed at purchase.

11. No undisclosed infrastructure pass-through

Frameleaf sets the prices customers accept. A supplier’s capacity minimum, API or transfer policy, deleted-storage charge or cancellation rule is not automatically incorporated into these Terms. Any customer-facing minimum storage charge or paid restore rate must appear expressly in the accepted Order. Frameleaf remains responsible for arranging its own service supply sufficiently to honor its commitments.

12. Records and contact

The account should make current subscriptions, invoices, upcoming renewals, accepted usage rates and available cancellation controls accessible. We will retain transaction and consent records according to the Security Schedule and applicable law. Evidence of a charge does not itself establish consent if the required authorization was not obtained.
